EQUIPMENT LEASES INC. VENDOR FINANCE PORTAL TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern your use of the Equipment Leases Inc. Vendor Finance Portal ("Portal"), provided by Commercial Funding Partners, LLC ("CFP"). You agree to be bound by these Terms by accessing or using the Portal.

1. Access to the Portal: Access is provided solely for vendors or manufacturers ("Vendors") who have entered into a contractual agreement with EQL. EQL reserves the right to grant or revoke access to the Portal at its sole discretion.
2. Use of the Portal: The Portal is intended to facilitate financing transactions between vendors, clients, and EQL. Vendors agree to use the Portal in compliance with all applicable laws and regulations. Vendors shall not use the Portal for any unlawful or unauthorized purpose.
3. Confidentiality: Vendors acknowledge that the information provided through the Portal may be confidential and proprietary to EQL. Vendors agree to maintain the confidentiality of all information accessed through the Portal. They shall only disclose such information to third parties with EQL's prior written consent.
4. Security: Vendors are responsible for maintaining the security of their login credentials. They shall not share their access credentials with any third party. Vendors shall immediately notify EQL of any unauthorized access or use of their account.
5. Transaction Process: Vendors shall submit financing applications through the Portal using the procedures established by EQL. EQL reserves the right to approve or reject financing applications in its sole discretion. Vendors agree to provide accurate and complete information in all financing applications submitted through the Portal.
6. Charges: The Vendor Portal is a FREE service EQL offers to facilitate funding transactions for our Vendors, clients, and prospects.
7. Intellectual Property: The Portal and all associated content, including but not limited to logos, trademarks, and software, are the intellectual property of EQL. Vendors shall not use, reproduce, or distribute any content from the Portal without EQL's prior written consent.
8. Disclaimer of Warranties: The Portal is provided on an "as-is" and "as-available" basis without express or implied warranties. EQL makes no representations or warranties regarding the accuracy, completeness, or reliability of the information provided through the Portal.
9. Limitation of Liability: In no event shall EQL be liable for any indirect, incidental, special, or consequential damages arising from or in connection with using the Portal.
10. Governing Law: These Terms shall be governed by and construed by the laws of the State of Utah, without regard to its conflict of law principles.
11. Modification of Terms: EQL reserves the right to modify or update these Terms without prior notice to Vendors. Vendors are responsible for regularly reviewing the Terms for any changes or updates.
12. Termination: EQL reserves the right to terminate or suspend access to the Portal at any time for any reason without prior notice. Upon termination, Vendors shall cease all use of the Portal and return or destroy any confidential information obtained through the Portal.
